Legal Counsel

JOB PURPOSE:

 

The Legal Counsel is responsible for supporting the Senior Legal Counsel and General Counsel to provide legal advice and services to ADNOC Global Trading (“AGT”) and, to the extent relevant, its affiliates on existing operations and new projects or transactions, including on international commodity dealings (such as for crude oil and refined products). Ensures conformity with laws and regulations, drafts, reviews, and amends legal opinions, agreements, and documents and provides advice on safeguarding AGT’s interests.

 

 

KEY ACCOUNTABILITIES:

Job Specific Accountabilities

  • Provides legal counsel and advice to AGT on operational, commercial, corporate and transactional matters as and when required or assigned, including on domestic and international commodity dealings (such as for crude oil and refined products).
     
  • Drafts, reviews, interprets and amends legal opinions, agreements, letters, memos, submissions and any other relevant documents related to the business, projects or transactions of AGT.
  • Assists on legal matters related to AGT’s corporate activities including structuring advice, drafting and negotiation of agreements, and support on corporate governance and compliance requirements.
  • Assists in review of claims in connection with AGT’s business activities including through interpretation and advice on performance of signed contracts and prevailing legislation.

 

  • Assists the Senior Legal Counsel in oversight of the legal functions of the Company, particularly in development and implementation of legal practices and strategies.
     
  • Provides functional guidance, as required, to assigned personnel within the Legal Division on complex issues.
  • Coordinates with the Corporate Governance Department on corporate governance matters related to AGT.
  • Coordinates with the Compliance Department on compliance matters related to AGT.
  • Performs other similar duties as assigned by the AGT General Counsel and Senior Legal Counsel.

 

Generic Accountabilities

Supervision

  • Plan, supervise and coordinate all activities in the assigned area to meet functional objectives.
  • Train and develop the assigned staff on relevant skills to enable them to become proficient on the job and deliver the respective function objectives.

Budgets

  • Provide input for preparation of AGT’s legal budgets and assist in the implementation of the approved Budget and work plans to deliver objectives.
  • Investigate and highlight any significant variances to support effective performance and cost control.

Policies, Systems, Processes & Procedures

  • Implement approved policies, processes, systems, standards and procedures in order to support execution of the work programs in line with Company and International standards.

Performance Management

  • Contribute to the achievement of the approved Performance Objectives in line with the Company performance framework.

Innovation and Continuous Improvement

  • Design and implement new tools and techniques to improve the quality and efficiency of operational processes.
  • Identify improvements in internal processes against best practices in pursuit of greater efficiency in line with ISO standards in order to define intelligent solutions for issues confronting the function.

Health, Safety, Environment (HSE) and Sustainability

  • Comply with relevant HSE policies, procedures and controls, applicable legislation and sustainability guidelines in line with international standards, best practices and ADNOC Code of Practices.

Reports

  • Provide inputs to prepare Section MIS and progress reports for Company Management.
     

COMMUNICATIONS & WORKING RELATIONSHIPS:

Internal

  • Regular contacts throughout ADNOC and subsidiaries/affiliates up to Vice President level for collecting/verifying information, finalizing recommendations and provision of professional advice and to ensure client satisfaction with AGT legal services.
     
  • Frequent contacts with legal advisors throughout ADNOC Group of Companies up to Vice President level and with external legal advisors to exchange information and views on legal issues, disputes and problems and defend ADNOC’s legal positions.

External

  • Frequent contacts with outside consultants to carry out jobs related to contracts in which ADNOC is a party.

QUALIFICATIONS, EXPERIENCE, KNOWLEDGE & SKILLS:

Minimum Qualification

  • Bachelor Degree in Law from a reputable university.
     

Minimum Experience & Knowledge & Skills

  • Minimum of 4 years’ of transactional work experience in a reputable international law firm and/or in-house legal department, preferably within the oil and gas industry.
  • Excellent English language (written and spoken). Fluent Arabic in addition is an advantage.
    Note: Years of post-qualification experience do not take into account additional years usually required to be spent working as a trainee lawyer prior to being considered qualified.

Professional Certifications

  • Must be a qualified lawyer in a civil and/or common law jurisdiction
